To state the year the net assets of SMPCI were taken into consideration, quantifying the net assets and stating whether it was based on audited financial statement. 2. To state the justification for the Disposal Price. 3. To illustrate how the expected gain on disposal is derived. 4. To briefly describe the utilisation of sale proceeds for working capital purpose. 5. To state the ultimate major shareholder of SelectG and their shareholdings. 6. To state the net profit attributable to SMPCI base on the latest audited financial statements. 7. To state the salient terms of the MOA including the termination/refund clause in the event of default/termination.
