(For consistency, all the abbreviations used throughout this announcement shall have the same meanings as defined in the earlier announcement(s) in relation to the Proposals, where applicable, unless stated otherwise or defined herein.)

Reference is made to the Company’s announcement on 31 March 2017, 13 April 2017, 25 May 2017, 29 May 2017 and 30 May 2017 in relation to the Proposals.

On behalf of the Board, Public Investment Bank Berhad (“PIVB”) wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”) had vide its letter dated 14 June 2017, approved the following:

1. admission to the Official List and the listing of and quotation for up to 2,515,037,240 new ICPS to be issued pursuant to the Proposed Rights Issue of ICPS;
2. listing of and quotation for up to 2,515,037,240 new ordinary shares to be issued pursuant to the conversion of ICPS;
3. listing of and quotation for up to 3,237,126 additional Warrants B to be issued arising from adjustments pursuant to the Proposed Rights Issue of ICPS;
4. listing of and quotation for up to 3,237,126 new ordinary shares to be issued pursuant to the exercise of additional Warrants B;
5. listing of and quotation for up to 1,621,601 additional Warrants C to be issued arising from adjustments pursuant to the Proposed Rights Issue of ICPS;
6. listing of and quotation for up to 1,621,601 new ordinary shares to be issued pursuant to the exercise of additional Warrants C; and
7. listing of and quotation for up to 649,586 new ordinary shares to be issued pursuant to the exercise of additional ESOS options arising from adjustments pursuant to the Proposed Rights Issue of ICPS.

The approval by Bursa Securities for the Proposed Rights Issue of ICPS is subject to the following conditions:

1. ATTA and PIVB must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Rights Issue of ICPS;
2. ATTA and PIVB to inform Bursa Securities upon the completion of the Proposed Rights Issue of ICPS;
3. ATTA and PIVB to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Rights Issue of ICPS is completed;
4. ATTA to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the conversion of ICPS as at the end of each quarter together with a detailed computation of listing fees payable; and
5. to incorporate Bursa Securities’ comments as per Bursa Securities’ approval letter in respect of draft circular to shareholders in relation to the Proposals.
