We refer to the announcements dated 28 December 2022, 19 January 2023 and 16 February 2023 in relation to the Proposed Acquisition (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities has, vide its letter dated 27 February 2023, approved the listing and quotation of 114,285,600 Consideration Shares to be issued pursuant to the Proposed Acquisition.

The approval by Bursa Securities is subject to the following conditions:

1. ATTA and TA Securities must fully comply with the relevant provisions under the Listing Requirements at all times pertaining to the implementation of the issuance of the Consideration Shares pursuant to the Proposed Acquisition, including compliance with the public shareholdings spread pursuant to Paragraph 8.02(1) of the Listing Requirements upon issuance and allotment of the Consideration Shares;
   

2. ATTA and TA Securities to inform Bursa Securities upon completion of the Proposed Acquisition;
   

3. ATTA to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders at the extraordinary general meeting for the Proposed Acquisition prior to the listing and quotation of the Consideration Shares to be issued pursuant to the Proposed Acquisition; and
   

4. ATTA to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Acquisition is completed.
